KITE REALTY GROUP ANNOUNCES $300 MILLION SENIOR NOTES AGREEMENT

Kite Realty Group, L.P. has recently announced the execution of a $300,000,000 underwriting agreement for 5.200% Senior Notes due 2032. The underwriters named in the agreement are Wells Fargo Securities, LLC, PNC Capital Markets LLC, and TD Securities (USA) LLC.

In accordance with the Securities Act of 1933, Kite Realty Group, L.P. and the Company have filed an "automatic shelf registration statement" within three years of the date of the agreement, including a base prospectus relating to the offer and sale of certain securities, including the Notes.

The Registration Statement, including all documents filed as part of it or incorporated by reference, and any information contained in the Prospectus subsequently filed with the Securities and Exchange Commission (SEC) are required to meet the necessary standards to avoid containing any untrue statement of a material fact or omitting to state a material fact required to be included.

The Operating Partnership is also required to file a new registration statement with respect to any additional notes necessary to complete the sales of the Notes if the current Registration Statement is not available for the sales as contemplated by the agreement.

These actions are part of the company's efforts to ensure compliance with the requirements of the Securities Act and the Trust Indenture Act of 1939.
