Omnicom to Acquire Interpublic Group by December 31, 2025

Omnicom and Interpublic Extend Exchange Offers

New York, September 30, 2025 – Omnicom Group Inc. (“Omnicom”) (NYSE: OMC) and the Interpublic Group of Companies, Inc. (“IPG”) (NYSE: IPG) have announced a regulatory update and extension of exchange offers. The regulatory approval process for Omnicom’s pending acquisition of IPG has been completed in all required jurisdictions except for Mexico and the European Union, with the acquisition expected to close by December 31, 2025.

Additionally, Omnicom has extended the expiration date of its previously announced exchange offers and consent solicitations for IPG’s outstanding notes from 5:00 p.m., New York City time, on September 30, 2025, to 5:00 p.m., New York City time, on October 31, 2025, unless further extended.
