Based on the recent press release from Rockwell Automation, Inc., a Change of Control Agreement has been established between the company and its Executive, Blake D. Moret, effective as of September 30, 2025. The agreement is designed to ensure the continued dedication of the Executive in the event of a change of control and to provide competitive compensation and benefits arrangements.
During the Protected Period, which spans from the Effective Date of the agreement to the second anniversary of that date, the Executive's position, authority, duties, and responsibilities are to be maintained at a level commensurate with the 120-day period immediately preceding the Effective Date. The Executive's base salary during this period will be at least equal to twelve times the highest monthly base salary paid or payable in the twelve months leading up to the Effective Date, and will be subject to regular reviews and potential increases.
In addition to the base salary, the Executive will be entitled to receive an annual bonus in cash, at least equal to the target bonus under the company's annual incentive plan in effect immediately prior to the Effective Date. Furthermore, the Executive will continue to participate in incentive, savings, and retirement plans, welfare benefit plans, and fringe benefits, with these arrangements being no less favorable than those provided prior to the Effective Date or subsequently to other peer executives.
During the Protected Period, the Executive will also be entitled to receive reimbursement for reasonable expenses, fringe benefits, an office with support staff, and paid vacation, all in accordance with the most favorable policies and practices in effect before or after the Effective Date.
The agreement also outlines provisions for termination of employment due to death, disability, termination without cause, or termination for good reason. As a result of these announcements, the company's shares have moved 0.2% on the market, and are now trading at a price of $349.40.
