Bread Financial Holdings Plans $500M Senior Notes Offering

Bread Financial Holdings, Inc. (NYSE: BFH) has announced its intention to offer $500 million aggregate principal amount of senior notes in a private offering. The company plans to use the net proceeds from the offering, along with approximately $275 million of cash on hand, for the redemption in full of its outstanding 9.750% senior notes due 2029, of which there is currently $719 million aggregate principal amount outstanding.

The notes will be guaranteed, on a full, joint and several basis, by each of the company’s domestic subsidiaries that guarantee the company’s obligations under its existing senior notes and its senior credit facility.

The offering of the notes is subject to market and other conditions, and there is no assurance that the company will be able to successfully complete this transaction on the terms described above, or at all. The notes will not be registered under the securities act, or any state securities laws.
