Seacoast Banking Corp of Florida (SBCF) Acquires Villages Bancorporation, Inc.

Seacoast Banking Corporation of Florida ("Seacoast" or the "Company") (NASDAQ: SBCF) has received regulatory approvals for the acquisition of Villages Bancorporation, Inc. ("VBI"). The transaction is expected to close around October 1, 2025, subject to customary closing conditions and the approval of VBI shareholders.

As of June 30, 2025, Seacoast reported approximately $15.9 billion in assets and $12.5 billion in deposits. The company operates 84 full-service branches across Florida, offering integrated financial services such as commercial and consumer banking, wealth management, and mortgage services.

Seacoast has filed a registration statement with the Securities and Exchange Commission (SEC) in connection with the proposed merger of VBI and Citizens First Bank with and into Seacoast and Seacoast National Bank, respectively.

The board of governors of the Federal Reserve System and the Office of the Comptroller of the Currency have approved Seacoast's application for the acquisition of VBI and the merger of Citizens First Bank with and into Seacoast Bank.
