Universal Health Services Acquires Talkspace for $835 Million

Universal Health Services, Inc. (NYSE: UHS) has announced its definitive agreement to acquire Talkspace, Inc. (NASDAQ: TALK) for $5.25 per share, with an enterprise value of approximately $835 million. Talkspace, a leading virtual behavioral healthcare company, generated $229 million in revenue and provided more than 1.6 million therapy and psychiatry sessions in 2025. As of December 31, 2025, Talkspace's services were available to more than 200 million individuals through various channels.

UHS expects the acquisition to be slightly accretive to its adjusted net income attributable to UHS per diluted share during the first twelve months post-closing and increasingly accretive thereafter, excluding one-time costs related to the acquisition. This move is aligned with UHS' core growth objectives to accelerate its outpatient and telehealth behavioral health strategies, diversify its payor mix, and deliver a comprehensive, technology-enabled continuum of care.

The acquisition is expected to close during the third quarter of 2026, subject to approval by Talkspace's stockholders, satisfaction of regulatory approvals, and other customary closing conditions. UHS' financial advisor for the transaction is J.P. Morgan Securities LLC, while its legal counsels are McDermott Will & Schulte and Stevens & Lee. Talkspace's financial advisor is Wells Fargo Securities, LLC, and its legal counsel is Cravath, Swaine & Moore LLP.

Universal Health Services, Inc., with annual revenues of approximately $17.4 billion in 2025, is one of the nation's largest providers of hospital and healthcare services. As of 2026, UHS operates 29 inpatient acute care facilities, 346 inpatient behavioral health facilities, 168 outpatient and other facilities, and ambulatory care access points in 40 U.S. states, Washington, D.C., Puerto Rico, and the United Kingdom.

Talkspace, listed on NASDAQ, offers a comprehensive suite of mental health services, including therapy for individuals, teens, and couples, as well as psychiatric treatment and medication management. The company's core therapy offerings allow members to engage in live video, audio, or chat sessions, and/or unlimited asynchronous text messaging sessions, all delivered through a fully-encrypted web and mobile platform that meets regulatory requirements.

The acquisition of Talkspace by UHS is expected to create the industry's first nationally scaled, end-to-end continuum in behavioral healthcare, facilitating seamless transitions across care settings and improving access for payors and consumers alike.
