- Annual stockholder meetings will be held each calendar year on a date and time set by the board.
- A quorum requires holders of a majority of the stock outstanding and entitled to vote.
- Each share gets one vote.
- Proxies generally remain valid for up to three years unless a longer period is stated.
- Most matters are approved by a majority of votes cast.
- Special meetings can be called by the chairman or a majority of directors, and also by the chairman upon a written request signed by holders of record of two-thirds of the shares entitled to vote on the matter.
- Written notice for stockholder meetings must be given not less than 10 days and not more than 60 days before the meeting.
- Stockholder lists must be available for at least 10 days before the meeting.
- Stockholder action by written consent is permitted if signed by holders of enough shares to approve the action at a meeting.
- For written-consent actions, the record date is set for the 10th day after a valid request or board determination, and stockholders must have at least 20 days from that record date to deliver or revoke consents.
- Written consents remain valid for a maximum of 60 days after the record date.
- An independent inspector of elections must be engaged within two business days after a written-consent request or board determination.
The bylaws also give the chairman broad control over meeting procedures, including agendas, voting windows, attendance limits, and time limits for questions or comments.
