NHC to Acquire 35 NHI Facilities' Real Estate

National Healthcare Corporation said it will acquire the real estate of 35 NHI facilities for $560 million, in a transaction that would move ownership of assets it already leases and operates.

The portfolio includes 32 skilled nursing facilities and three independent living facilities across Alabama, Florida, Kentucky, Missouri, South Carolina, Tennessee and Virginia. NHC said it currently operates all of the facilities and will continue to do so except for four Florida skilled nursing facilities, which will remain under a third-party operator’s lease after closing.

The company said the deal is expected to close in the third quarter of 2026.

NHC said the acquisition would give it “maximum flexibility” in its operating strategy and expects the transaction to add to both earnings and cash flow.

The facilities are part of NHC’s existing footprint in the Southeast and Midwest. The company said the purchase will complement its current portfolio in those regions and strengthen its continuum of care model.

NHC’s operating scale includes 80 skilled nursing facilities with 10,329 beds, 26 assisted living communities with 1,413 units, nine independent living communities with 777 units, three behavioral health hospitals, 34 homecare agencies and 33 hospice agencies.
