SiTime Plans $1.1B Convertible Notes Offering

SiTime said it plans to raise $1.1 billion through a convertible senior notes offering due 2031, with underwriters holding an option to buy an additional $150 million of notes.

The company said it expects to use the proceeds to help fund part of the cash consideration for its acquisition of timing-related assets from Renesas Electronics, announced Feb. 4, 2026. The rest of the money is earmarked for capped call transactions tied to the notes, with any remaining proceeds going to working capital, operating expenses, capital expenditures and general administrative costs.

The notes will mature June 15, 2031. SiTime said interest will be paid semiannually, and the conversion terms, including the interest rate and initial conversion rate, will be set at pricing.

If the full $1.1 billion is sold, and the extra $150 million is taken up, the offering could total $1.25 billion.

SiTime also said it plans to enter into capped call transactions covering the shares underlying the notes, a structure it said is intended to reduce dilution from future conversions and offset cash payments above principal, subject to a cap.
