Astronics said it will distribute Class B stock equal to 20% of existing holdings, giving shareholders one Class B share for every five shares of common stock or Class B stock they own on June 15, 2026.
The new shares are expected to be issued on or about June 29, 2026, with fractional shares paid in cash.
After the distribution, Astronics expects to have about 32.1 million common shares outstanding and 10.9 million Class B shares outstanding.
The company said this will be its 15th Class B stock distribution since the practice began in 1987.
Class B stock carries 10 votes per share, compared with one vote per share for common stock. Astronics said the economic value of one Class B share is equivalent to one common share, and Class B shares can be converted into common stock at any time at no cost.
