Verizon extended the early participation date for its private exchange offers and consent solicitations to 5:00 p.m. New York City time on June 16, 2026, from the original June 1 deadline. The company said the exchange offers and consent solicitations will now expire at the same time, and settlement is expected on June 22, 2026, the third business day after expiration, unless extended.
As of the original early participation date, holders had tendered 157.0 million dollars of notes across the 11 series Verizon listed, with participation ranging from 0.96% to 85.89% of each series outstanding.
The most heavily tendered series was Verizon Delaware LLC’s 8.625% debentures due 2031, where holders tendered 2.045 million dollars out of 2.381 million dollars outstanding, or 85.89%. Alltel Corporation’s 7.875% senior notes due 2032 followed at 57.35%, with 32.027 million dollars tendered out of 55.847 million dollars outstanding. Verizon New England Inc.’s 7.875% debentures due 2029 saw 69.235 million dollars tendered out of 133.077 million dollars outstanding, equal to 52.03%.
Other notable participation included Verizon Virginia LLC’s 8.375% debentures due 2029 at 39.98%, with 3.595 million dollars tendered out of 8.993 million dollars outstanding; Verizon Maryland LLC’s 8.000% debentures due 2029 at 24.40%, with 4.875 million dollars tendered out of 19.981 million dollars outstanding; and Verizon New Jersey Inc.’s 7.850% debentures due 2029 at 22.75%, with 10.170 million dollars tendered out of 44.704 million dollars outstanding.
At the low end, Frontier Florida LLC’s 6.860% debentures due 2028 had 2.719 million dollars tendered out of 282.289 million dollars outstanding, or 0.96%. Frontier North Inc.’s 6.730% debentures due 2028 had 4.18% tendered, and Alltel Corporation’s 6.800% debentures due 2029 had 1.57%.
Verizon also said consents delivered for a series in the exchange offers will be combined with consents delivered for the same series in its separate cash tender offers. The company said the cash tender offers and exchange offers are separate and distinct, and that a holder can tender notes from a series into only one tender offer at a time.
