Item 2 of the filing says management is tracking a tariff reset that could materially affect results. The company said it filed for refunds in April 2026 tied to previously paid IEEPA tariffs and estimates about $100.0 million in refunds during fiscal 2027, with the benefit recognized only when realized or deemed realizable. It also said the principal refund amounts would be recorded as a reduction of cost of sales for goods already sold or rented, or as a reduction of inventory or rental product for goods still on hand.
The filing says the U.S. Supreme Court invalidated many IEEPA tariffs in February 2026, and the Court of International Trade ordered U.S. Customs and Border Protection to process refunds in March 2026. In response, the government imposed incremental global tariffs under Section 122 in February 2026; the company said a May 2026 CIT ruling found those tariffs unauthorized, but payments must continue until July 2026. Management said it is negotiating with vendors, shifting sourcing where possible, moving transportation from air to ocean, and selectively raising prices to offset tariff pressure.
The company also pointed to the Middle East conflict, which began in the first quarter of fiscal 2027, as a source of higher inbound freight costs and delivery expenses from fuel surcharges. It said it is using supply chain strategies to reduce those costs, but the duration and magnitude of the disruption remain unpredictable.
For the three months ended April 30, 2026, Retail accounted for approximately 82.4% of consolidated net sales, down from 85.0% in the comparable period in fiscal 2026. Within Retail, Anthropologie targets women ages 28 to 45 with apparel, accessories, furniture, home décor, and beauty and wellness products; Free People and FP Movement focus on young women ages 25 to 30 with casual apparel, activewear, intimates, shoes, accessories, home products, gifts, and wellness items; and Urban Outfitters targets young adults ages 18 to 28 with fashion apparel, activewear, footwear, accessories, home goods, electronics, and beauty products.
