Olin Corp locks in support for merger with Huntsman

Olin Corporation signed a voting and support agreement on June 15, 2026 with stockholders holding Huntsman shares, locking in support for its planned merger with Huntsman.

Under the pact, the holders agreed not to transfer their Huntsman shares, with limited exceptions for affiliates, permitted transferees, Olin’s written consent, and certain equity-award-related tax or exercise transactions. The agreement also sweeps in any shares acquired after signing, along with shares created through stock splits, dividends, recapitalizations, mergers or similar corporate actions.

The holders committed to vote all covered shares in favor of the merger agreement and any amendments that do not reduce or change the form of merger consideration, add material payment restrictions, or otherwise materially worsen their position as stockholders. They also agreed to support any adjournment or postponement of a stockholder meeting if more votes are needed to approve the deal.

The same shares must be voted against competing takeover proposals, actions that would breach the merger agreement, proposals that could derail closing conditions, changes to Huntsman voting rights, or any other action that could materially delay or impair the transaction.

The agreement says any prohibited transfer is void, and any involuntary transferee remains bound by the same restrictions through the termination date. It also states that the holders remain free to vote on other matters, including director elections, and that director or officer actions taken in their fiduciary roles are not treated as breaches of the pact.
