Quantum Computing Inc. Acquires Nhanced Semiconductors for $73.1M

Quantum Computing Inc. said June 23 it completed the acquisition of Nhanced Semiconductors in a cash-and-stock deal valued at $73.1 million, with up to an additional $72.0 million tied to performance targets.

The purchase gives QCI semiconductor and nanophotonics fabrication capabilities, advanced packaging expertise and specialized engineering talent as it moves from research and prototyping toward commercial production. The company said the deal supports its plan to launch Fab 2 and expand manufacturing capacity years ahead of its original timeline.

QCI said the acquisition builds on the integration of Luminar Semiconductor, which it said had already added fabrication expertise in laser, light detection, photonic packaging and testing. With Nhanced now added, QCI said it is extending its manufacturing footprint across semiconductor and nanophotonics production, lasers, detectors, testing and packaging.

Nhanced is a U.S.-based advanced packaging foundry focused on integration, hybrid bonding, chiplet architectures, silicon interposers and photonics device integration. QCI said the combination strengthens its work on thin-film lithium niobate, or TFLN, photonic integrated circuits and 2.5D/3D heterogeneous integration.

The company said the deal is intended to support applications in quantum computing, artificial intelligence, networking, secure communications and defense technologies. Nhanced will operate as a wholly owned subsidiary of QCI.

QCI said the transaction accelerates its push toward commercial-scale production and expands its ability to serve customers in semiconductor and nanophotonics manufacturing, while Nhanced’s team continues supporting existing customers and partners. The market has reacted to these announcements by moving the company's shares 3.79% to a price of $10.939. Check out the company's full 8-K submission here.
