Tempus AI has agreed to buy Personalis in a deal valuing the genomics company at $1.5 billion net of Tempus’ existing stake, with Personalis shareholders set to receive $16.25 a share.
The price implies a 6% premium to Personalis’ Friday close and a 28% premium to its unaffected 30-day volume-weighted average price.
The transaction is structured as 100% stock, though Tempus can elect to pay cash for up to 50% of the consideration. The floating exchange ratio will be finalized closer to closing, with a maximum ratio of 0.3356 Tempus shares for each Personalis share.
The companies said the deal is expected to close in late 2026 or early 2027.
Personalis reported preliminary second-quarter revenue of $22.4 million and 10,384 clinical tests, up 33% from the prior quarter. The company also said it has Medicare coverage in three indications.
Tempus said the acquisition expands its minimal residual disease capabilities and builds on a partnership launched in November 2023, when Tempus invested in Personalis and began commercializing Personalis’ next personal MRD test.
