REGENXBIO said it priced a public offering that will bring in about $100 million in gross proceeds before fees and expenses.
The company is selling 10,003,889 shares of common stock at $9.00 apiece and 1,111,111 pre-funded warrants at $8.9999 each. At those prices, the stock sale accounts for about $90.0 million of the total and the warrants about $10.0 million.
REGENXBIO also gave underwriters a 30-day option to buy up to 1,667,250 additional shares. If that option is exercised in full, the company would sell roughly 16.7% more shares than the base offering of 10,003,889.
The offering is expected to close on July 20, 2026.
This is the latest financing move for the biotech company, which is advancing a pipeline that includes RGX-202 for Duchenne muscular dystrophy, ABBV-RGX-314 for wet AMD and diabetic retinopathy, RGX-121 for MPS II and RGX-111 for MPS I.
