Tempus AI to Acquire Personalis for $1.5B

Tempus AI said it will acquire Personalis in a deal valuing the molecular residual disease company at $1.5 billion net of Tempus’ existing stake, with Personalis shareholders set to receive $16.25 a share.

The price implies a 6% premium to Personalis’ Friday close and a 28% premium to its unaffected 30-day volume-weighted average price. The transaction is being structured as a 100% stock deal, though Tempus can elect to pay cash for up to half of the consideration.

Personalis reported preliminary second-quarter revenue of $22.4 million and 10,384 clinical tests, up 33% from the prior quarter. The company said Medicare coverage is in place in three indications.

Tempus said the acquisition is meant to deepen its reach in MRD, expanding its cancer-monitoring capabilities from diagnosis and treatment selection through recurrence tracking. The companies have already been working together since November 2023, when Tempus invested in Personalis and began commercializing its Next Personal MRD test.
