IonQ completed its acquisition of SkyWater Technology on July 31, bringing together the quantum computing company and the largest exclusively U.S.-based semiconductor foundry.
Under the deal terms, SkyWater shareholders received $15.00 in cash and 0.4883 shares of IonQ common stock for each SkyWater share at closing. The transaction received the required regulatory approvals.
IonQ said the acquisition creates the only vertically integrated full-stack quantum platform company and expands its reach from quantum computing into quantum networking, quantum security, and quantum sensing. SkyWater will continue operating under its own name as a subsidiary, with Thomas Sonderman remaining chief executive officer of the unit and reporting to IonQ CEO Niccolo de Masi.
The company said the combination is intended to speed its fault-tolerant quantum computing roadmap and support a domestic supply chain for chip design, fabrication, and packaging.
IonQ also said the combined company is expected to hold its second-quarter earnings call on Aug. 5, 2026, after the U.S. market closes, with an investor day set for Sept. 8 in the third quarter of 2026.
