AirJoule Technologies Releases 10-Q Report

AirJoule Technologies has recently released its 10-Q report. AirJoule Technologies Corporation develops atmospheric renewable energy and water-harvesting technology, with products and systems tied to dehumidification, water recovery, cooling, drying, and atmospheric water generation through its AirJoule platform. The company was founded in 2018 and is based in Ronan, Montana.

In Item 2, Management’s Discussion and Analysis points readers back to the “Critical Accounting Estimates” section in the company’s previously filed Annual Report on Form 10-K. The filing says recently issued accounting standards are discussed in Note 3, “Summary of Significant Accounting Policies,” and states that the company had no off-balance sheet arrangements as of June 30, 2026.

The company also says it remains an emerging growth company under the JOBS Act. That status allows it to delay adoption of new accounting standards until private-company effective dates and to use other reduced-reporting exemptions, including no auditor attestation on internal controls under Section 404(b), reduced executive compensation disclosures, and no requirement for certain PCAOB audit-related provisions. AirJoule says it will keep that status until the earliest of the end of the first fiscal year after the fifth anniversary of XPDB’s IPO, the fiscal year in which annual revenue reaches $1.235 billion, the date it becomes a large accelerated filer with at least $700 million of non-affiliate-held securities, or the date it issues more than $1.0 billion of non-convertible debt over three years. The market has reacted to these announcements by moving the company's shares -7.59% to a price of $5.84. For the full picture, make sure to review AirJoule Technologies's 10-Q report.
