Fifth Third Bancorp Launches Exchange Offer for Senior Notes

Fifth Third Bancorp said Aug. 21 it has begun a registered exchange offer for two series of senior notes, giving holders the chance to swap unregistered debt for newly registered notes of the same principal amount.

The offer covers up to $334.65 million of 4.000% senior notes due 2029 and up to $938.141 million of 5.982% fixed-to-floating rate senior notes due 2030. In total, the exchange offer spans $1.273 billion of debt.

The new notes will match the terms of the restricted notes they replace, except the registered notes will not carry the transfer restrictions, registration rights or additional interest provisions tied to the unregistered securities. Both series will be issued under the same indenture as the restricted notes.

Fifth Third said it will accept any and all restricted notes validly tendered and not withdrawn by 5 p.m. New York City time on Sept. 22, 2026. After that deadline, the company expects to settle the exchange by issuing the registered notes.

The exchange follows Fifth Third’s June 10 completion of offers to swap notes issued by its subsidiary, Fifth Third Financial Corporation, for the restricted notes now being exchanged. As a result of these announcements, the company's shares have moved -0.02% on the market, and are now trading at a price of $54.49. Check out the company's full 8-K submission here.
