Par Pacific Holdings said its 46% stake in Laramie Energy will be sold as part of a $485 million cash deal for substantially all of Laramie’s oil and gas assets.
For Par Pacific, the expected take from the transaction is about $146 million after debt repayment, closing adjustments and fees. Of that amount, about $27.5 million would not be received until the fifth anniversary of closing. The company also could receive up to roughly $30 million more through contingent earn-out payments.
The deal includes $60 million of the $485 million purchase price deferred until the fifth anniversary of closing, and Laramie could collect up to an additional $65 million in earn-outs over the first through fifth anniversaries after closing.
Par Pacific said the transaction is expected to close by the end of 2026. Once completed, the company will exit its investment in Laramie Energy entirely. Today the company's shares have moved 0.16% to a price of $73.94. Check out the company's full 8-K submission here.
