Vertiv to Acquire UtilityInnovation Group for $1.45 Billion in Cash

Vertiv said it agreed to buy UtilityInnovation Group for about $1.45 billion in cash at closing, with as much as another $1.15 billion tied to EBITDA targets over 12* and 24-month periods.

At the stated purchase price, Vertiv said the deal values UIG at about 13 times expected 2027 EBITDA. Vertiv said that multiple would be “significantly lower” if the full earnout is paid. The company expects the acquisition to add to adjusted earnings per share in the first year after completion.

The deal expands Vertiv’s reach from grid interconnect deeper into onsite power systems. UIG brings microgrid controls, onsite generation orchestration, microgrid-specific switchgear and behind-the-meter power architecture. Vertiv said the combination extends its power and cooling portfolio from the grid interconnect to the chip without tying customers to a single generation technology or supplier.

UIG was founded in 2020 and is based in Raleigh, North Carolina, with European headquarters in Dublin. It also has manufacturing operations in North Carolina and New Jersey.

Vertiv said the acquisition is aimed at speeding up access to power for AI data centers as grid constraints slow deployment. The company said the combined offering is designed to support grid-connected sites, bridge-to-grid deployments and islanded sites supplied by onsite generation.

Vertiv said the transaction is expected to close in the fourth quarter of 2026, pending regulatory approvals and customary closing conditions.
