Corvex Inc. Reports Significant Loss Post-Merger

Corvex, Inc. reported a sharply larger loss in its pro forma combined results after the March 19, 2026 merger with Corvex Legacy Holdings.

For the six months ended June 30, 2026, the combined company recorded revenue of $4.312 million, up from Corvex’s standalone $35,000 and Corvex Legacy’s $4.277 million. Total costs and expenses came to $32.703 million, compared with $4.563 million for Corvex and $19.812 million for Corvex Legacy separately. That pushed the pro forma operating loss to $28.391 million, versus a standalone loss of $4.528 million for Corvex and $15.535 million for Corvex Legacy.

Bottom-line losses widened to $26.155 million, compared with $2.228 million and $15.542 million separately. Loss attributable to common stockholders was $26.310 million. On a per-share basis, the pro forma net loss was $0.94, versus $1.14 for Corvex alone and $0.32 for Corvex Legacy alone. Weighted average shares used in the calculation rose to 27.905 million from 2.088 million for Corvex and 25.818 million for Corvex Legacy.

For full-year 2025, the pro forma combined company posted revenue of $7.535 million, up from $433,000 for Corvex and $7.102 million for Corvex Legacy. Total costs and expenses reached $73.045 million, compared with $15.936 million and $16.870 million individually. The pro forma operating loss was $64.791 million, versus $15.503 million for Corvex and $9.768 million for Corvex Legacy.

Net loss for 2025 widened to $67.546 million on a combined basis, compared with $18.285 million for Corvex and $9.517 million for Corvex Legacy. Pro forma net loss per share was $2.62, versus $21.79 for Corvex and $1.56 for Corvex Legacy. Weighted average shares increased to 25.818 million from 840,720 for Corvex and 24.977 million for Corvex Legacy.

The merger accounting also added substantial balance-sheet value. Corvex said the estimated purchase price was $581.955 million, including $519.318 million of goodwill. It recorded $5.190 million of customer relationships and $10.210 million of trade names as identifiable intangible assets.
