South32 told shareholders it will hold its 2026 annual general meeting on 15 October 2026 at 12:00 pm AWST in Perth and online, and used the notice to frame a major transaction vote tied to its aluminium portfolio.
The company said directors will ask shareholders to back resolution 7 on the proposed sale of its aluminium value chain assets, excluding Mozal Aluminium, to Alcoa Corporation, a deal announced on 1 July 2026. The board said it unanimously recommends voting in favor of the transaction, subject to there being no superior proposal and the independent expert maintaining its view that the deal is in shareholders’ best interests.
South32 also said its directors recommend voting in favor of resolutions 2 through 6, except where individual directors have a personal interest. If resolution 8 is put to the meeting, the board is recommending shareholders vote against it.
