Copart Acquires ACV for $1.9 Billion

Copart said it will acquire ACV for $10.50 a share in cash, valuing the digital automotive marketplace at about $1.9 billion and giving ACV holders a premium of about 45% to its Aug. 10 closing price and about 41% to its 30-day volume-weighted average price through Sept. 9.

The deal expands Copart beyond salvage and online vehicle auctions into dealer trade-ins and dealer-to-dealer wholesale remarketing. Copart said the combined company will operate across the full vehicle lifecycle, from dealer trade-ins and wholesale remarketing to salvage disposition and international resale.

Copart said ACV adds an immediate position in the dealer-to-dealer auction channel and broadens its commercial volume. The company also said ACV brings dealer-focused inspection technology, condition data and AI-powered valuation tools, which will deepen Copart’s technology capabilities.

Copart said it expects the acquisition to be neutral to earnings per share in the first full year of ownership and accretive in fiscal 2028 and beyond. It also said the transaction should generate near-term cost and revenue synergies across dealer, commercial and retail channels.

The purchase will be funded with cash on hand. Copart said the deal is not subject to a financing condition and is expected to close by calendar year-end 2026.

ACV will continue to operate as an independent subsidiary after closing, led by its existing management team.
