Ondas said it has acquired Gate Technologies and Bron Technologies in a deal valued at $205 million, with most of the payment in cash, plus a working-capital adjustment and as much as $185 million in performance-based earn-out consideration.
The company said the acquired business is expected to contribute more than $130 million of aggregate adjusted EBITDA through 2028.
Gate brings electronic safe-and-arm devices and advanced electronic fuzing technology used in more than a dozen weapon systems, including rockets, missiles, UAVs and loitering munitions. Ondas said Gate’s products are already integrated into approximately 100 reported Rubi loitering munition configurations.
The acquisition expands Ondas’ footprint across the United States, Europe, Israel and allied markets. Ondas said it now has a path to U.S. engineering, integration, qualification and production, with U.S.-produced finished products and integrated systems targeted for the first half of 2027.
Ondas also said the deal adds Israeli engineering and NATO-based, non-ITAR production, certification and distribution through Bron Technologies in Poland. Today the company's shares have moved 2.77% to a price of $7.43. Check out the company's full 8-K submission here.
