Skyworks Solutions Receives Regulatory Approvals for Qorvo Merger

Skyworks Solutions said it has received all necessary regulatory clearances for its proposed combination with Qorvo, putting the companies on track to close the transaction on or about Oct. 5, 2026.

The deal, first announced Oct. 28, 2025, is a cash-and-stock merger that will combine Skyworks’ and Qorvo’s product and technology portfolios and engineering teams. Skyworks said the combination will create a U.S.-based global leader in radio frequency, analog and mixed-signal semiconductors.

Alongside the merger, Skyworks has been working through exchange offers for Qorvo’s debt. The company has offered to exchange all of Qorvo’s outstanding 4.375% senior notes due 2029 and all of Qorvo’s outstanding 3.375% senior notes due 2031 for new Skyworks notes, with related consent solicitations for amendments to the indentures governing those bonds.

Those exchange offers are tied to the merger closing and currently are set to expire at 5:00 p.m. New York City time on Oct. 2, 2026. Skyworks said it expects to issue a separate release extending that deadline to a date after the merger closes.

Skyworks also said it expects to pay the consent payments tied to the solicitations concurrently with, or shortly after, the merger closing. The market has reacted to these announcements by moving the company's shares 0.51% to a price of $88.04. Check out the company's full 8-K submission here.
