Willis Lease Finance said it has nullified a preferred stock filing made on Sept. 16, 2024 after identifying two errors in the document: it misstated the name of one of the signers and incorrectly cited the filing date of an earlier preferred stock certificate.
The company said the Sept. 16 certificate of designations is now “null and void.” It also said the correction does not affect a separate third amended and restated certificate of designations filed the next day, on Sept. 17, 2024.
The filing was executed on Sept. 23, 2026 by Executive Vice President and Chief Financial Officer Scott B. Flaherty and attested to by Corporate Secretary Z. Clifton Dameron IV. As a result of these announcements, the company's shares have moved -2.98% on the market, and are now trading at a price of $50.74.
