CD&R and McKesson agreed to acquire Option Care Health in a transaction valuing the home and alternate site infusion provider at about $5.8 billion, or $32.05 per share.
The deal price represents a 37% premium to Option Care Health’s Oct. 5, 2026 closing share price, the last full trading day before the announcement.
Under the agreement, CD&R will own about 51% of Option Care Health and McKesson about 49%. McKesson said it will invest approximately $1.4 billion for its minority stake.
Option Care Health said the company will remain a separate business led by its current management team, but its shares will be delisted from Nasdaq once the transaction closes. The companies expect closing in the first half of 2027.
The deal comes as Option Care Health prepares to report third-quarter 2026 results on Nov. 4, 2026, but it said it will not host a conference call and is withdrawing its 2026 guidance.
Option Care Health said it has more than 8,000 team members, including more than 5,000 clinicians, and operates in all 50 states.
