UWM Holdings is offering up to 200 million shares of Class A common stock through a rights offering that gives existing holders one transferable right for every share owned as of the Oct. 2, 2026 record date.
Each right can be used to buy 0.57 of a share. The subscription price will be the greater of $2.00 or 85% of the volume-weighted average price over the 10 trading days ending on the third trading day before the offering expires.
The rights expire at 5:00 p.m. Eastern on Nov. 12, 2026, unless extended. The rights are transferable until the close of trading on the NYSE on Nov. 11, 2026.
Holders who fully exercise their basic subscription rights can also apply for additional shares through an over-subscription right. If demand exceeds the shares left after basic exercises, the company will allocate the remaining stock pro rata among those requesting extras.
To participate, completed rights certificates and payment must reach the subscription agent by the expiration deadline. Any unused rights will expire without value.
