H.B. Fuller Prices $850M Debt Offering

H.B. Fuller priced an $850 million debt offering of new senior unsecured notes due 2034, setting the coupon at 7.625% and the issue price at 100% of principal.

The company said the notes are expected to close on or about Oct. 21, 2026. The bonds will pay interest semiannually.

H.B. Fuller said it plans to use the proceeds, along with other cash and borrowings, to help fund its acquisition of Advanced Medical Solutions Group plc, repay other borrowings under its credit agreement, and refinance its 4.000% notes due Feb. 15, 2027. It also said some proceeds may go toward general corporate purposes.

If the AMS acquisition is not completed by June 25, 2027 — or by a later date if extended, but not beyond one year from the issue date — H.B. Fuller will be required to redeem $450 million of the notes at 100% of the original issue price, plus accrued interest.

The company said it had 2025 revenue of $3.5 billion and more than 7,100 employees operating across 150 countries. As a result of these announcements, the company's shares have moved 1.06% on the market, and are now trading at a price of $50.44.
