Copart Acquires ACV Auctions for $10.50 a Share

Copart said it completed its acquisition of ACV Auctions on October 16, 2026, paying $10.50 a share in cash.

In the tender offer, 116,818,409 ACV shares were validly tendered and not withdrawn, equal to about 68.43% of ACV’s outstanding common stock as of the expiration time on October 15. Copart accepted all of those shares for payment and said it would promptly pay for them.

After the tender offer closed, Copart completed the merger of its purchaser subsidiary with ACV. Each ACV share that had not been tendered was canceled and converted into the right to receive the same $10.50 per share in cash.

With the deal closed, ACV shares stopped trading on the New York Stock Exchange. ACV will operate as an independent subsidiary of Copart under its existing leadership team.

Copart said the combination creates a broader remarketing platform spanning dealer trade-ins, wholesale remarketing, salvage disposition and international scale. ACV’s chief executive said the deal expands the company’s growth, innovation pace and global reach.

Copart said it connects vehicle consignors to about 1 million members in more than 185 countries, operates at more than 250 locations in 11 countries, and sold more than 4 million units in the last year. As a result of these announcements, the company's shares have moved 5.63% on the market, and are now trading at a price of $27.75. Check out the company's full 8-K submission here.
