Apollo Commercial Real Estate Finance said it expects to voluntarily delist its shares from the New York Stock Exchange on or about Oct. 27, 2026, with the last day of trading set for Nov. 6, 2026. The company expects to file a Form 25 with the SEC and NYSE in connection with the delisting.
After delisting, the company plans to transfer all remaining assets and liabilities to a Maryland statutory liquidating trust, deregister with the SEC on Nov. 9, 2026, and then dissolve. The trust will be used to wind up the company’s affairs, liquidate remaining assets, and distribute proceeds after liabilities are satisfied.
The company said it intends to distribute the trust’s beneficial interests to stockholders on a one-for-one basis after the transfer. Those interests will not trade on the NYSE or any other exchange, and holders will not receive certificates. Except in limited cases such as transfer by will, intestate succession or operation of law, the beneficial interests will not be transferable.
The board of trustees of the liquidating trust will decide whether there will be any additional liquidating distributions and when they will be paid. Apollo Commercial also said it expects ACREFI Management LLC or an affiliate to serve as manager of the trust.
The liquidation plan was approved by stockholders on Sept. 29, 2026. The company said it previously provided guidance that the trust would likely file annual reports on Form 10-K and current reports on Form 8-K under the company’s SEC file number. Following these announcements, the company's shares moved 1.58%, and are now trading at a price of $6.41. Check out the company's full 8-K submission here.
