Apollo Commercial Real Estate Finance to Delist Shares and Dissolve

Apollo Commercial Real Estate Finance said it expects to file a Form 25 on or about Oct. 27, 2026 to delist its shares from the New York Stock Exchange, with the last day of trading expected to be Nov. 6, 2026.

After the delisting, the company said it plans to transfer all remaining assets and liabilities to a Maryland statutory liquidating trust, then deregister with the SEC on Nov. 9, 2026 and dissolve. The company said it intends to distribute the trust interests to stockholders on a one-for-one basis after the transfer.

The trust will be set up to wind down the company’s affairs, liquidate remaining assets and distribute proceeds after liabilities are satisfied. Apollo Commercial said the trust interests will not trade on the NYSE or any other exchange and will not be represented by certificates.

The company said stockholders approved the liquidation plan on Sept. 29, 2026. Before that approval, Apollo Commercial operated as a real estate investment trust focused on performing commercial first mortgage loans, subordinate financings and other commercial real estate debt investments.

Apollo Commercial said Acrefi Management, or an affiliate, is expected to manage the liquidating trust. It also said any additional liquidating distributions will be determined by the trust’s board of trustees.

The company noted that Apollo Global Management had about $1.05 trillion of assets under management as of June 30, 2026. Following these announcements, the company's shares moved -0.47%, and are now trading at a price of $6.38. Check out the company's full 8-K submission here.
