Medtronic completed the separation of MiniMed Group on Oct. 15, 2026, ending its ownership of 252,813,348 MiniMed shares.
The transaction came after Medtronic’s exchange offer for MiniMed stock was 5.4 times oversubscribed. Medtronic said the exchange agent will issue newly created MiniMed shares in book-entry form to tendering shareholders, while cash will be paid for fractional shares after they are aggregated and sold.
The spin-off leaves Medtronic focused on its cardiovascular, neuroscience and surgical businesses, while MiniMed begins trading separately on Nasdaq under the ticker MMED. The market has reacted to these announcements by moving the company's shares -0.73% to a price of $94.75. Check out the company's full 8-K submission here.
