Maximus said it has agreed to buy Agile Defense for $660 million in cash, adding a business with about 1,100 cleared employees and more than 50 federal agency customers as it pushes deeper into defense and national security.
The deal includes the $660 million purchase price at closing, plus possible contingent payments tied to performance targets. Maximus said it expects the transaction to close in the first quarter of fiscal 2027, pending regulatory approvals and other closing conditions.
Agile Defense brings cybersecurity, digital transformation, data analytics and AI capabilities, along with Agile Labs, its innovation unit. Maximus said the acquisition is intended to expand its reach in resilient, technology-heavy federal work, including missions tied to the departments of war, homeland security and other national security agencies.
Founded in 1998 and based in McLean, Virginia, Agile Defense has built relationships across defense and national security customers, contract vehicles and approved systems. Maximus said the combination is meant to strengthen its ability to pursue federal programs where spending growth is expected to remain durable. The market has reacted to these announcements by moving the company's shares -0.23% to a price of $61.33. Check out the company's full 8-K submission here.
