Marriott International Suspends Retirement Savings Plan Transactions

Marriott International, Inc. has announced a temporary suspension of transactions in the Marriott Retirement Savings Plan (RSP) due to a planned transition of the current RSP recordkeeper to a new recordkeeper. The blackout period, which is expected to last from September 25, 2024, to October 18, 2024, will prevent RSP plan participants from making changes to their investments or contribution rates, or taking a loan or distribution from their RSP account.

During the blackout period, all directors and executive officers of the company are prohibited from directly or indirectly purchasing, selling, acquiring, or transferring any shares of the company's common stock, including by exercising stock options, or any derivatives of the company's common stock, regardless of whether they participate in the RSP.

It's important to note that the blackout period is separate from the quarterly closure of the securities trading window under the company's securities trading policy.

If the date of the transition changes or the beginning date or duration of the blackout period is adjusted, the company will provide notice of such adjustments as soon as reasonably practicable.
