Clover Leaf Capital Postpones Special Meeting

Clover Leaf Capital Corp. (NASDAQ: CLOE) and Digital Ally, Inc. (NASDAQ: DGLY) have announced the postponement of their special meeting of stockholders, originally scheduled for August 23, 2024. The meeting, which is intended to approve the proposed initial business combination with Kustom Entertainment, Inc., has been further postponed to 4:30 p.m. Eastern Time on Tuesday, August 27, 2024.

As a result of this change, the deadline for holders of Clover Leaf's Class A common stock issued in its initial public offering to submit their shares for redemption in connection with the business combination has been extended to 5:00 p.m. Eastern Time on Friday, August 23, 2024. The record date for Clover Leaf's stockholders to vote in the meeting remains July 24, 2024.

Kustom Entertainment, Inc., a recently formed wholly-owned subsidiary of Digital Ally, oversees three other wholly-owned subsidiaries: Ticketsmarter, Kustom 440, and Birdvu Jets.

Ticketsmarter, one of Kustom Entertainment's subsidiaries, offers tickets to more than 125,000 live events, including concerts, sports, and theater shows. The company serves as the official ticket resale partner of over 35 collegiate conferences, more than 300 universities, and numerous events and venues nationally. Ticketsmarter provides primary and secondary ticketing solutions for events and high-profile venues across North America.
