The senior notes include 5.250% senior notes due 2030, 5.125% senior notes due 2029, and 5.000% senior notes due 2028. The company aims to purchase these notes for an aggregate purchase price, excluding accrued interest, of up to $1,100,000,000.
The tender offer consideration for the 5.250% senior notes due 2030 is $945.00 per $1,000 principal amount of notes, with an early tender premium of $30.00, making the total consideration $975.00. For the 5.125% senior notes due 2029, the tender offer consideration is $960.00 per $1,000 principal amount of notes, with an early tender premium of $30.00, totaling $990.00. Lastly, the tender offer consideration for the 5.000% senior notes due 2028 is $970.00 per $1,000 principal amount of notes, with an early tender premium of $30.00, making the total consideration $1,000.00.
The tender offers are set to expire at 5:00 p.m., New York City time, on September 24, 2024, unless extended. Holders of notes must validly tender and not validly withdraw their notes prior to or at 5:00 p.m., New York City time, on September 9, 2024, to be eligible to receive the applicable total consideration.
The total consideration, accrued interest, and the costs and expenses of the tender offers are expected to be paid with funds from the closing of the previously announced sale of the company’s digital banking segment businesses. The tender offers are subject to the satisfaction or waiver of certain conditions, as specified in the offer to purchase.
Goldman Sachs & Co. LLC and J.P. Morgan Securities LLC are the dealer managers for the tender offers, and Global Bondholder Services Corporation is the tender and information agent for the tender offers.
